Diligence Request List


Definition

A structured list of documents and information requested by an investor or their advisors as part of a financial due diligence process. A diligence request list typically covers financial statements, financial model access, cap table, legal agreements, customer contracts with financial implications, and management accounts.

Common Misapplication

The most common misapplication is treating the diligence request list as a one-time document submission rather than as an ongoing request that may be supplemented with follow-up questions. A company that responds to the initial list but does not maintain an organised diligence response log creates reconciliation problems if discrepancies arise later.
