Precedent Transaction Analysis


Definition

A valuation methodology that estimates a company's value by reference to the transaction multiples paid in comparable historical acquisitions. Precedent transaction multiples typically include a control premium not present in public market trading prices and are therefore higher than comparable company trading multiples. The peer set for precedent transaction analysis must be constructed using documented selection criteria applied before the multiples are examined.

Common Misapplication

The most common misapplication is using precedent transaction multiples from a different market cycle without adjusting for changed market conditions. A transaction completed at peak market multiples is not representative of current market pricing and must be adjusted or excluded.
