Share Register


Definition

The legal record of issued shares maintained by the company, recording for each shareholder their name, address, the number of shares held, the share class, and the date of acquisition. The share register is a legal requirement in most jurisdictions and is distinct from the fully diluted cap table: the share register records issued shares only, while the fully diluted cap table includes all instruments that could become shares.

Common Misapplication

The most common misapplication is treating the share register as the cap table for financial infrastructure purposes. A share register that records only issued shares does not reflect the company's full equity obligations and cannot be used to calculate fully diluted ownership percentages.
